These Terms of Service ("Terms") govern your access to and use of the BrainPlug platform ("Service"), operated by Procure Solutions LLC ("Company," "we," "us," or "our"). By creating an account or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By accessing or using BrainPlug, you confirm that you are at least 18 years old and have the legal capacity to enter into these Terms. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Service

BrainPlug is a software-as-a-service platform that provides users with a usage-based workspace containing business workflow tools. The platform includes:

• Workspace notes for internal documentation and project tracking
• Document upload, management, and organization
• Form builder with smart auto-fill from uploaded client documents
• Case management for tracking client inquiries and tasks
• Inbox for workspace notifications and module interaction transcripts
• Invoice creation, sending, and management
• Calendar and event planning tools
• Workflow modules that embed on your website as widgets (e.g., meeting scheduling, client support, inquiry handling)
• Usage analytics and reporting

The availability and capabilities of the Service may change at any time without notice.

3. Accounts and Registration

To use the Service, you must create an account with a valid email address and subscribe to a paid plan. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

4. Subscriptions and Payments

BrainPlug is available through paid subscription plans billed monthly. Our order process is conducted by our payment processor, which is the Merchant of Record for all our orders. Our payment processor provides all customer service inquiries and handles returns.

This means our payment processor is the entity that processes your payment, handles sales tax/VAT, and issues invoices and receipts on our behalf. By purchasing a subscription, you also agree to our payment processor's buyer terms and conditions.

• Subscriptions renew automatically each month unless cancelled.
• Each subscription plan includes a monthly usage allowance. Your allowance is consumed when you use workspace features.
• Additional usage may be purchased separately at any time.
• Unused usage allowance does not roll over to the next billing period unless otherwise stated.
• Prices are subject to change with 30 days' notice.

5. Usage Allowance

Your use of workspace features consumes your usage allowance (referred to as "workspace actions"). Different features may consume your allowance at different rates. Your current usage balance is visible within the platform. When your allowance is depleted, you will need to purchase additional usage or wait for your next billing cycle to continue using workspace features.

Workspace actions are non-transferable units for software consumption only. They have no cash value, cannot be exchanged, resold, or redeemed for money, and cannot be transferred between accounts. Workspace actions are not a virtual currency, stored-value product, gift card, or financial instrument of any kind.

6. Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Upload, store, or distribute content that is illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable
• Attempt to reverse-engineer, decompile, or extract source code from the Service
• Interfere with or disrupt the integrity or performance of the Service
• Attempt to gain unauthorized access to other users' accounts or data
• Use the Service to develop competing products or services
• Share your account credentials with others or allow multiple individuals to use a single account
• Use automated scripts or tools to access the Service without our prior written consent
• Upload fraudulent, forged, or manipulated documents
• Create misleading content designed to deceive others
• Upload or distribute content that exploits, harms, or endangers minors in any way
• Use the platform for mass outreach, spam, or unsolicited communications

We reserve the right to suspend or terminate your account immediately and without refund if you violate these terms.

7. Intellectual Property

You retain ownership of all content you input into the Service ("Your Content"). You grant us a limited license to process Your Content solely for the purpose of providing the Service to you.

Output generated by the platform is provided to you for your use. We do not claim ownership of platform output, but we make no guarantees regarding the uniqueness, accuracy, or intellectual property status of any output.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

• The Service will be uninterrupted, timely, secure, or error-free
• Platform output will be accurate, complete, or reliable
• Any specific features will remain available
• The Service will meet your specific requirements

Content and output generated within the platform should be reviewed for accuracy before use in any professional, legal, financial, or medical context. You are solely responsible for how you use platform output.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROCURE SOLUTIONS LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE THREE (3) MONTHS PRECEDING THE CLAIM.

10. Cancellation and Termination

You may cancel your subscription at any time through the payment management portal. Upon cancellation, your access will continue until the end of your current billing period.

We may suspend or terminate your account at any time for violation of these Terms, with or without notice. Upon termination, your right to use the Service ceases immediately.

11. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information.

12. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after changes are posted constitutes acceptance of the updated Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved in the courts located in the State of Florida.
